Jay E. Cain is a transactional attorney and Certified Public Accountant based in CCSE’s Dallas office. His practice covers mergers and acquisitions, real estate transactions, entity structuring, and outside general counsel services, with particular depth in transactions that require close coordination of legal and financial analysis. He served for more than a decade as General Counsel and first head of legal and tax for The Sewell Family of Companies, a multi-brand enterprise with $300–500M in annual revenues. Jay also serves as Adjunct Professor of Business Law at Texas Christian University.
Peter Roussak is Senior Counsel at CCSE with more than 40 years of experience in corporate and commercial transactions. He holds an MA (Honours) in Law from Cambridge University and a JD from the University of Chicago Law School (Order of the Coif) and began his legal career at Gibson, Dunn & Crutcher and Irell & Manella. He has served as general counsel and senior executive at several companies, including as SVP and General Counsel of Thrifty PayLess, Inc. and as General Counsel of Interlink Electronics (NASDAQ: LINK).
Jonathan Bell is Senior Counsel at CCSE, based in the firm’s San Diego office. His practice covers corporate and commercial transactions — including mergers and acquisitions, private equity and debt financings, entity formation, licensing, and commercial agreements — as well as outside general counsel services for a range of business and nonprofit clients. He holds dual bar admissions in California and Illinois and graduated magna cum laude from Loyola University Chicago School of Law.
Mark R. Slough is Senior Counsel at CCSE, where his practice focuses on corporate and business transactions, real estate, and sports law. He has more than 25 years of legal experience spanning national law firm practice, commercial banking, and active sports representation. Mark is also a partner and General Counsel of Coaches Resource Management, a national sports agency representing college coaches across all NCAA sports.
Paul Schiada is a transactional attorney with more than 35 years of experience in corporate and real estate matters. A former partner at Katten Muchin & Zavis, he subsequently served as VP and Senior Corporate Counsel at Platinum Technology, where he was part of the company’s $3.5 billion acquisition by Computer Associates. Since 2003, he has maintained a practice advising individuals and businesses on corporate and real estate transactions.
Andrew L. Gradman is a transactional tax attorney and Certified Tax Specialist focusing on the tax consequences of business transactions, entity structuring, real estate, compensation planning, and estate matters. He holds a JD from Columbia Law School, an LLM in Taxation from NYU, and a BA from Stanford University, and previously served as a federal prosecutor and staff attorney for the U.S. Court of Appeals for the Ninth Circuit.
Edward Lang is an attorney at CCSE advising clients on business and media transactions, private securities, M&A, joint ventures, and intellectual property matters. He brings more than 30 years of operating and advisory experience, including as a co-founder of Cvent (NYSE: CVT) and in executive roles at Sony, Playboy, and AOL. He holds a JD with a focus in intellectual property from The George Washington University Law School.
Kris Burwell has more than 20 years of experience in sports and entertainment business development, event production, and client management. He is a founding partner of Coaches Resource Management, a national sports agency representing coaches across all NCAA sports, and previously served as a partner at Ballengee Group’s Sports Professionals and Executives division. Kris holds a JD from Texas Tech University School of Law and a BA in Economics from The University of Texas at Austin.
