Jay E. Cain is a transactional attorney and Certified Public Accountant. His practice at CCSE covers mergers and acquisitions, real estate transactions, entity formation and structuring, tax planning, partnership agreements, and outside general counsel services. Jay’s background as both an attorney and a CPA with Big 4 audit experience informs his approach to transactions that require close coordination between legal structure and financial outcome.

Before joining CCSE, Jay served for more than a decade as General Counsel and the first head of legal and tax for The Sewell Family of Companies, a multi-brand private enterprise with over 600 employees and annual revenues between $300 and $500 million. In that role, he led buy/sell transactions with asset values up to $60 million, managed a $100 million expansion initiative, and built the company’s legal, governance, and compliance infrastructure from the ground up. He also served concurrently as General Counsel of Legado Trust, a company specializing in business acquisitions and consulting.

Earlier in his career, Jay trained as an auditor at Deloitte & Touche LLP and subsequently built a CPA practice in North Texas specializing in financial analysis and valuations in complex litigation and tax matters. He earned his JD from Texas Tech School of Law on the Dean’s List in 2014. Jay also serves as Adjunct Professor of Business Law at the M.J. Neeley School of Business at Texas Christian University.
