Jay E. Cain is a transactional attorney and Certified Public Accountant. The combination of active legal and CPA credentials informs his approach to transactions where legal structure and financial outcome need to move together — from deal structuring and due diligence through closing and post-transaction compliance.

Jay’s practice at CCSE covers mergers and acquisitions, real estate transactions, entity formation and structuring, tax planning, partnership and succession agreements, and outside general counsel services for operating companies and investors.

Before joining CCSE, Jay served for more than a decade as General Counsel and the first head of legal and tax for one of Texas’s top-performing automotive enterprises — a private company with more than 100 years in the industry. In that capacity, he led transactions valued up to $60 million, directed multi-location acquisition processes as part of a $100 million expansion initiative, and supervised litigation involving a $43 million commercial construction and relocation project. He also built the company’s legal, governance, compliance, and tax infrastructure from the ground up, covering corporate governance, data protection, intellectual property, employment matters, and regulatory compliance across a multi-entity organization.

Earlier in his career, Jay trained as an auditor at Deloitte & Touche LLP in Los Angeles, then built a North Texas CPA practice focused on financial analysis and valuations in complex litigation, probate, and tax matters. He earned his JD from Texas Tech School of Law in 2014. Jay currently serves as Adjunct Professor of Business Law at the M.J. Neeley School of Business at Texas Christian University.
